Position Summary: TheAssistant General Counsel is responsible for legal issues and riskmanagement matters within the company. The position advises theexecutive leadership team and management within the companyregarding legal, business, and risk management issues, as well asacting as a liaison with outside counsel.
Essential Duties andResponsibilities:
- Collaborate and provide legal guidance onexternal communication such as earnings releases, press releases,investor presentations, marketing materials, and the Company'sinvestor relationswebsite.
- Provide legal support forthe governance of the Company’s subsidiaries and corporatetransactions, including finance and capital markets transactions,and internal grouprestructurings.
- Monitorregulations and developments relevant to the Company’sbusiness interests, particularly relating to corporate governance,public company matters, and mergers andacquisitions.
- Provide general legaladvice and support on day-to-day operational issues and significantcompany-wide matters.
- Prepare andexecute legal documents by analyzing, drafting, negotiating,reviewing, and filing thedocuments.
- Study proposed andexisting legislation, review business practices and policies, andadvise leadership of potentialrisks.
- Prepare, negotiate, andinterpret contracts.
- Prepare andimplement policies and practices in response to legal andregulatory requirements.
- Prepare anddeliver training regarding legal and regulatoryrequirements.
- Support the company’sincident reporting and investigation process directly byinvestigating allegations of ethics, compliance, and labor andemploymentissues.
- Performs other dutiesas assigned by leadership.
Experience and MinimumQualifications:
- Bachelor’s degree and J.D. from anABA-accredited law school is required.
- License to practice law and in good standingin any U.S. state and eligible to be admitted to practice law inthe state of Ohio.
- 6+ years ofexperience in a large law firm or significant in-house counselexperience.
- Experience with business lawincluding contract issues and disputes, labor and employmentmatters, litigation management, corporate governance, ethics, andcompliance including investigations
- Business acumen with the ability to identify,assess, balance, and manage risk.
- Excellent written and verbal communicationskills, including the ability to explain complex legal issues toall levels of management.
- Strongleadership skills and willingness to collaborate, share knowledge,respond quickly to urgent matters, and execute proactively.
- Ability to effectively multi-task, be highlyorganized, and thrive in a deadline-centric environment.
- Must be able to understand and embrace thecompany's core values and corporate goals.
- Proficiency using Microsoft Office Suite(Outlook, Word, Excel, PowerPoint, Project, and/or Access).
- Must be legally authorized to work in thecountry of employment without sponsorship for employment visastatus (e.g., H1B status).

- Sedentary work. Exerting upto 10 pounds of force occasionally and/or a negligible amount offorce frequently or constantly to lift, carry, push, pull, orotherwise move objects, including the human body. Sedentary workinvolves sitting most of the time.
