Position Overview:
The firm is seeking a mid-level associate with 2–6 years of experience handling complex corporate transactions, with an emphasis on capital markets matters. This is an opportunity to work closely with leading attorneys on sophisticated U.S. and cross-border securities offerings for clients across diverse industries.
Responsibilities:
Manage and support capital markets transactions, including public and private securities offerings, IPOs, SPACs, PIPEs, and REIT-related work.
Draft and negotiate transactional and disclosure documents such as registration statements, offering memoranda, and related corporate agreements.
Lead due diligence teams and coordinate all aspects of deal execution.
Advise clients on corporate governance, securities law compliance, and disclosure obligations.
Collaborate effectively across practice groups and mentor junior attorneys.
Qualifications:
2–6 years of experience in capital markets or related corporate transactions.
Strong academic background and exceptional writing, analytical, and communication skills.
Proven ability to manage a high-volume, fast-paced workload with attention to detail.
Experience handling complex securities transactions and corporate governance matters.
Admission to the Florida Bar or eligibility for admission required.
