Our esteemed and expanding corporate practice is actively seeking a driven and skilled mid-level associate to join our dynamic team in Southern California. This role presents a significant opportunity for an attorney with a strong foundation in the emerging company and venture capital ecosystem to take on a pivotal role in a fast-paced and rewarding environment. The ideal candidate will be a strategic thinker with a passion for innovation and a commitment to providing exceptional legal counsel.
Core Responsibilities:
The successful candidate will be entrusted with a broad range of responsibilities, including, but not limited to:
- Serving as a trusted legal advisor to a diverse portfolio of early-stage and high-growth companies throughout their entire lifecycle, from initial formation and seed financing to strategic exits.
 - Structuring, drafting, and negotiating a variety of complex corporate and transactional agreements, with a particular emphasis on venture capital financings, including convertible debt instruments, preferred stock purchase agreements, and related ancillary documents.
 - Providing sophisticated counsel on matters of corporate governance, ensuring compliance with fiduciary duties and navigating complex shareholder and board-level dynamics.
 - Playing a key role in the execution of strategic corporate transactions, such as mergers and acquisitions, strategic partnerships, and joint ventures, from due diligence through to successful closing.
 - Cultivating and managing key relationships with clients, investors, and opposing counsel, acting as a central point of contact and ensuring seamless communication and collaboration.
 
Qualifications and Experience:
- Must possess a Juris Doctor (J.D.) from a law school of recognized standing.
 - Active membership in good standing with the State Bar of California is a prerequisite for consideration.
 - A minimum of four to six years of substantive corporate legal experience, with a demonstrably strong focus on advising emerging companies and venture capital funds, preferably within a large law firm setting.
 - Exceptional drafting and negotiation capabilities, with a keen attention to detail and the ability to articulate complex legal concepts with clarity and precision.
 - A proactive and collaborative mindset, coupled with the ability to work autonomously and manage competing priorities effectively.
 - A distinguished academic record and superior written and verbal communication skills are essential.
 
Compensation:
In compliance with the California Pay Transparency Law, the anticipated annual salary range for this position is $310,000 to $390,000. The final compensation offered will be commensurate with the candidate's experience, qualifications, and overall skill set.
