Job Description: Corporate Advisory/Fund Formation Associate (2nd–4th Year)
Location: New York, NY

Direct Counsel is representing an AmLaw 100 firm seeking a highly motivated 2nd to 4th year associate to join the Corporate Advisory/Fund Formation practice in its New York office. This is an exciting opportunity to work with private equity sponsors and investors on the structuring, formation, and operation of private investment funds, as well as legal, regulatory, and compliance matters faced by fund sponsors.

Key Responsibilities:

  • Represent private equity fund sponsors and institutional investors in fund formation and regulatory matters

  • Draft and negotiate fund formation documents, side letters, and investor disclosures

  • Provide counsel on securities regulations, governance, and operational issues

  • Interact directly with clients, investors, and partners

Job Requirements:

  • 2–4 years of fund formation experience at a law firm

  • Strong written and verbal communication skills; ability to engage directly with partners and clients

  • Professionalism in working with high-profile clients and investors

  • Ability to manage multiple responsibilities and prioritize in a fast-paced environment

  • Organized, detail-oriented, and capable of working independently or within a team

  • J.D. from an ABA-accredited law school

  • Admission to the New York Bar required
