Porzio, Bromberg & Newman seeks an experienced Corporate Associate to join our dynamic and collaborative corporate law practice. This opportunity is ideal for a mid-level attorney who thrives in a project-based environment, values flexibility, and can contribute immediately with minimal supervision. We welcome both part-time (20–25 hours/week) and full-time candidates.
About the RoleYou’ll work directly with senior attorneys across multiple practice areas on a wide range of sophisticated corporate transactions. The focus will be on private M&A, entity formation, contract negotiation, and legal opinions. You’ll also collaborate with cross-functional colleagues on complex client matters, all within a strategically minded and supportive team.
Key Responsibilities- Draft, review, and negotiate contracts, purchase agreements, and governance documents
 - Lead or support sell-side private M&A transactions
 - Form and maintain business entities, including LLCs and corporations
 - Draft legal opinions and assist with legal due diligence
 - Provide proactive legal counsel across multiple principal-led teams
 - Contribute to efficient, client-focused service delivery
 - Navigate billing efficiency and collaborate across practice groups
 
You’ll be part of a collegial team of highly experienced attorneys who value strategy, service, and integrity. Our team includes professionals with backgrounds in top law firms, in-house roles, and subject matter expertise across corporate, litigation, tax, and bankruptcy. This role offers both independence and mentorship in a high-performing group that emphasizes clear communication, accountability, and practical execution.
Qualifications- J.D. from an accredited law school and admission to at least one U.S. state bar (NJ, NY, or DE preferred)
 - 4–8 years of corporate transactional experience, including meaningful sell-side M&A
 - Familiarity with legal opinions, governance structuring, and private company work
 - Strong drafting and analytical skills
 - Ability to manage multiple projects and priorities independently
 - Prior law firm or in-house counsel experience (both welcomed)
