Mid-Level Corporate Finance Associate
Location: Washington, D.C. (Hybrid)
Time Type: Full-Time

Compensation: $235,000 - $365,000 per year

Direct Counsel is representing an Amlaw 100 firm in the search for a mid-level Corporate Finance Associate to join its Corporate Practice in Washington, D.C. This role provides an excellent opportunity to work on complex finance transactions for clients across industries in a collaborative, high-performing environment.

Key Responsibilities:
  • Handle lender and borrower-side financings, including syndicated credit facilities, acquisition financings, and asset-based lending.

  • Draft, review, and revise credit agreements, debt commitment letters, security agreements, and closing deliverables, including secretary’s certificates, resolutions, legal opinions, schedules, and exhibits.

  • Represent private equity sponsors and portfolio companies in financing transactions (experience preferred).

  • Manage deal execution, client interaction, and ensure high-quality legal work throughout the transaction lifecycle.

  • Collaborate with colleagues in a team-oriented and proactive environment.

Qualifications:
  • 2–6 years of experience in corporate finance, including lender and/or borrower-side transactions.

  • Strong experience in syndicated credit facilities, acquisition financings, and asset-based lending.

  • Proven drafting and negotiation skills with the ability to manage deals independently.

  • Strong academic background and admission to one or more state bars; DC bar admission is a plus.
