Our Am Law 100 client is seeking an outstanding mid-level associate with a minimum of 3 years experience to join their sophisticated and growing M&A practice in Philadelphia. The team represents public and private company clients on cross-border and domestic transactions across a broad range of industries, with particular emphasis on life sciences and healthcare, consumer, and financial services sectors.

The ideal candidate will have experience in mergers and acquisitions and general corporate matters, including conducting due diligence of acquisition targets, drafting transaction agreements, and interacting effectively with client teams. Applicants should be generally familiar with Delaware and New York corporate and federal securities laws.

Key Responsibilities:

  • Represent clients in domestic and cross-border M&A transactions.

  • Conduct due diligence and draft, review, and negotiate transaction agreements.

  • Collaborate with large deal teams on complex transactions.

  • Work directly with clients and integrate into a dynamic, team-oriented environment.

Qualifications:

  • minimum 3 years of mergers and acquisitions and general corporate experience.

  • Familiarity with Delaware and New York corporate and federal securities laws.

  • Strong academic credentials, work ethic, and interpersonal skills.

  • Large regional, national, or international law firm experience preferred.

  • Admission to the Pennsylvania Bar required.

Compensation:

  • Annualized salary starting at $250,000, with actual compensation based on experience, qualifications, and other job-related factors permitted by law.
