EMERGING GROWTH & VENTURE CAPITAL ATTORNEY (NON-PARTNERSHIP TRACK)

A top-10 AmLaw, global law firm is seeking an Emerging Growth & Venture Capital (EGVC) Attorney to join its Corporate Practice Group as part of the firm’s Professional Track Attorney program. This role offers a unique opportunity to work with high-growth startups, venture funds, and institutional investors in fast-paced, cutting-edge industries.


Candidate Profile

  • JD from a top-tier law school with an excellent academic record
  • Active Bar Admission in the relevant jurisdiction, in good standing
  • 5–8 years of substantive experience advising on EGVC transactions
  • Familiarity with standard EGVC forms (NVCA, seriesseed.com, and Y Combinator)
  • Experience managing preferred stock, bridge, and SAFE financings
  • Proven ability to oversee due diligence in venture financings and M&A transactions
  • Relevant experience at an AmLaw 100 firm is strongly preferred
  • Skilled at advising clients on corporate governance and day-to-day operational matters
  • Strong drafting, negotiation, and communication skills
  • Proactive, organized, and able to manage multiple priorities in a fast-paced environment

Key Responsibilities

  • Advise founders, startups, and investors on venture capital financings and growth transactions
  • Structure, draft, and negotiate financing documents, purchase agreements, and related instruments
  • Oversee due diligence for M&A and venture deals
  • Counsel clients on entity formation, capitalization, governance, and compliance
  • Build and maintain strong client relationships, anticipating legal and strategic needs
  • Collaborate across practice groups to support clients throughout all stages of growth
  • Supervise and mentor junior attorneys and other professional staff

Compensation & Benefits

  • Competitive Salary: Annual base salary is expected to range from $150,000 – $300,000, as determined by experience, qualifications, and market factors
