Mid-Level Associate Attorney – Financial Transactions
Location: New York, Washington, DC, Seattle, San Francisco, or Los Angeles

Direct Counsel is seeking a Mid-Level Associate Attorney to join a leading national law firm in its Financial Services Practice Group. This position offers the opportunity to work with top-tier clients in the payment systems and technology industries, including money center banks, credit and debit card issuers, FinTechs, and major retailers, on complex and innovative transactions.

Key Responsibilities:

  • Draft, review, and negotiate lengthy, complex, and technical commercial agreements, including co-branded and private-label credit card programs, payment processing agreements, technology and licensing agreements, and mobile wallet initiatives.

  • Support partners in advising clients on competitive RFPs and transaction structuring.

  • Provide strategic legal counsel aligned with client business objectives.

  • Conduct legal research to ensure compliance with applicable laws and regulations.

  • Participate in payments-related M&A transactions, including joint venture formation, restructuring, secured credit facilities, and asset acquisitions/dispositions.

  • Maintain regular client communication, prioritizing objectives and delivering timely updates.

  • Respond to unexpected developments with innovative legal solutions.

Qualifications:

  • Juris Doctor (JD) from an accredited law school.

  • Admission to at least one state bar and in good standing.

  • 3–6 years of experience in financial transactions, preferably within the payment systems or technology industries.

  • Strong drafting, negotiation, and communication skills.

  • Experience in complex M&A or credit transactions preferred.

  • Interest in financial technology and emerging payment systems.

  • Excellent analytical, problem-solving, and multitasking abilities.

Compensation & Benefits:

  • Annualized salary range: $225,000 – $290,000 (commensurate with experience and location).
