Transactional Associate – Environmental
Location: Philadelphia, PA (Hybrid)
Time Type: Full-Time

Direct Counsel is representing an AmLaw 100 firm in the search for a Transactional Associate with 1–3 years of experience to join its Environmental Risk Management Team in Philadelphia. This is an excellent opportunity to work on high-profile, transaction-focused environmental matters in a collaborative, client-facing practice.

Key Responsibilities:
  • Perform environmental due diligence for real estate and M&A transactions, including brownfields development projects.

  • Structure solutions to environmental risks through remedial strategies, specialty insurance programs, and negotiated contracts and agreements.

  • Draft and review transactional documents, including purchase agreements, loan agreements, liability transfer agreements, and ancillary documents.

  • Collaborate closely with clients and internal teams, providing transaction-driven legal solutions.

  • Engage in deal negotiation and drafting, with significant client interaction throughout the transaction lifecycle.

Qualifications:
  • 1–3 years of experience in corporate M&A, real estate, or transactional environmental law at a large or boutique law firm; recent graduates will also be considered.

  • Strong analytical, drafting, and negotiation skills.

  • Ability to manage multiple priorities in a fast-paced, deal-driven environment.

  • Excellent interpersonal skills for client-facing work and collaborative team projects.

  • Environmental law experience is a plus but not required.
