- Draft, review, and negotiate contracts, memoranda, policies, and other legal documents to safeguard the company’s interests, including primary responsibility for the review and negotiation of Non-Disclosure Agreements (NDAs)
- Assist in corporate governance activities, including primary responsibiity for the preparation of board meeting materials, corporate filings, and maintenance of statutory records.
- Maintain and update existing contract templates and contracting processes.
- Conduct legal research and prepare concise memoranda to inform business decisions.
- Support compliance initiatives and internal audit processes to ensure adherence to company policies and industry standards.
- Assist with due diligence and legal support for mergers, acquisitions, and other corporate transactions.
- Coordinate with external counsel as directed by the General Counsel to support litigation, investigations, or specialized legal matters.
- Maintain accurate records of legal documents, contracts, and corporate filings.
- Perform additional duties as assigned to support the legal and operational needs of the company.
- Juris Doctor (JD) degree from an accredited law school.
- Admission to practice law in Minnesota or eligibility for admission.
- 1-3 years of legal experience, preferably with a focus on general corporate law, corporate governance, and commercial contract drafting and review through internships or prior legal positions.
- Demonstrated academic excellence and strong legal writing, analytical, and research skills.
- Familiarity with corporate governance, and commercial contract drafting and review is preferred.
- Excellent written and verbal communication skills with the ability to interact effectively across all levels of the organization.
- Strong analytical and research skills with a keen attention to detail.
- Proficient in drafting and reviewing legal documents and contracts with accuracy and clarity.
- Ability to work independently as well as collaboratively within a fast-paced, dynamic team environment.
- Proactive and self-motivated, with a demonstrated ability to self-manage multiple priorities and deadlines.
- High ethical standards and a strong commitment to maintaining confidentiality.
- Proficiency in Microsoft Office Suite
