LEVERAGED FINANCE OF COUNSEL ATTORNEY

Location: New York, NY

HYBRID

A top-10 AmLaw firm is seeking a talented Of Counsel Attorney to join its Leveraged Finance Practice in New York. This is an exceptional opportunity to advise clients on complex leveraged finance transactions while collaborating with a nationally recognized team. The role offers a hybrid work model and direct exposure to sophisticated lender and borrower-side deals.

Candidate Profile

  • JD from a top-tier law school with an excellent academic record.
  • Active Bar Admission in New York, in good standing.
  • 9+ years of substantive experience in leveraged finance, debt capital markets, private credit, fund finance and/or structured finance.
  • Experience representing lenders and borrowers in complex financing transactions.
  • Demonstrated proficiency in drafting, negotiation, and deal management.
  • Experience in some or all of the following areas is highly advantageous:
  • Traditional First Lien, Unitranche, Stretch Senior, Second Lien, and Subordinated Loan transactions;
  • ABL, Subscription, and NAV Facilities;
  • Structured Equity Investments, including non-traditional Preferred Stock Financings and Equity Co-Investments.

  • Directly related prior experience at an AmLaw 100 firm is required.
  • Soft Skills: Excellent analytical, writing, and communication skills; sound business judgment; attention to detail; and the ability to thrive both independently and within a team setting in a fast-paced environment.

    Key Responsibilities

    • Represent lead arrangers, direct lenders, borrowers, issuers, and corporate clients in leveraged finance transactions.
    • Advise clients on secured and unsecured credit facilities, specialized loan transactions, and structured equity investments.
    • Draft, review, and negotiate credit agreements, security agreements, intercreditor agreements, and related documentation.
    • Provide counsel on structuring, regulatory, and compliance matters related to finance transactions.
    • Oversee transactions from structuring through closing, ensuring high-quality work product and responsiveness.
    • Collaborate across practice groups, including tax, restructuring, and M&A, to deliver comprehensive solutions to clients.
    • Contribute to business development initiatives.
