CAPITAL MARKETS ASSOCIATE ATTORNEY

Our client, a prestigious AmLaw 100 firm with a nationally recognized Capital Markets practice, is seeking a detail-oriented Associate Attorney to join its New York office. This is an excellent opportunity for a junior attorney to gain exposure to sophisticated corporate transactions while working alongside a collaborative team of industry-leading practitioners.
Candidate Profile
- JD from a top-tier law school with a strong academic record
 - Active Bar Admission in New York, in good standing
 - 1-2 years of substantive experience in corporate transactions
 - Capital markets experience is highly advantageous
 - Prior experience or a desire to work in a sophisticated NY law practice setting with clients from the power and utilities industries is preferred
 - Skill Set: Strong analytical, drafting, and communication skills; detail-oriented with the ability to manage multiple workstreams under partner supervision
 - Professionalism: Demonstrated initiative, sound judgment, and a client-focused mindset; ability to work well within a team-oriented, fast-paced environment
 
Key Responsibilities
- Assist in advising public and private companies on corporate transactions, including capital markets matters
 - Draft, review, and negotiate disclosure documents, transaction agreements, and SEC filings
 - Conduct legal research and provide regulatory analysis related to securities law compliance and corporate governance
 - Support the execution of high-value deals through all phases of the transaction lifecycle
 - Collaborate with colleagues across practice groups, including M&A and finance, to deliver comprehensive client service
 - Engage directly with clients, with increasing responsibility as experience and skill develop

Compensation & Benefits
- Competitive Compensation: Annual base salary is expected to range from $225,000 - $235,000, depending on experience, qualifications, and market factors
 - Discretionary bonus opportunities are also available
