BROAD-BASED CORPORATE TRANSACTIONS COUNSEL ATTORNEY

Our client, an international Amlaw 50 law firm, is seeking a Counsel-level attorney with significant experience in broad-based corporate transactional matters to join its New York office. This is an exceptional opportunity to work on a wide variety of high-value transactions, including private equity M&A and financings, joint ventures, strategic alliances, and investment fund restructurings. The position sits within the firm’s tax department, offering unique exposure to sophisticated, cross-disciplinary matters involving top-tier clients.
Candidate Profile
- JD from a top-tier US or Canadian law school with an excellent academic record
- Active Bar Admission in New York, in good standing
- 7–9 years of corporate transactional experience in a large law firm setting
- Demonstrated experience with a broad range of transactions, including:
- Private equity mergers & acquisitions and financings
- Joint ventures and strategic alliance transactions
- Restructuring transactions for investment funds
- Familiarity with corporate tax matters is advantageous
- Ability to manage multiple complex transactions simultaneously
- Proven ability to work collaboratively across practice groups and with clients
- Soft Skills: Exceptional analytical, drafting, and negotiation skills are essential
Key Responsibilities
- Lead and manage corporate transactional matters from inception to closing
- Negotiate and draft a wide range of transaction documents, including purchase agreements, joint venture agreements, financing documents, and restructuring agreements
- Collaborate with colleagues in tax, finance, regulatory, and other related practice areas to provide integrated legal solutions
- Advise clients on deal structures, risk allocation, and strategic considerations
- Maintain and strengthen client relationships by delivering high-quality, responsive service

Compensation & Benefits
- Base Salary: $360,000+ annually, as determined by experience and market factors.
