Direct Counsel is seeking a Mid-Level Private Funds Associate to join a top-tier law firm with a nationally recognized private capital practice.
The position may be based in New York or Los Angeles. The ideal candidate will have experience advising private fund sponsors and institutional investors on all aspects of private equity fund formation, structuring, and capital raising. The role offers the opportunity to work closely with leading practitioners on complex and high-value matters involving domestic and international investment funds.
Key Responsibilities:
Represent fund sponsors in structuring and forming private equity funds
Draft and negotiate fund documents and related side letters
Advise clients on regulatory and compliance issues relevant to private funds
Work with institutional investors on fund investments and co-investment arrangements
Qualifications:
J.D. from an accredited law school
3–5 years of experience in a large law firm’s investment funds or private capital group
Strong understanding of fund structuring and the fundraising process
Admitted to practice and in good standing in New York or California, depending on office location
Excellent academic credentials and a strong deal sheet required
Compensation:
The anticipated salary range for this role is $310,000 to $390,000 annually, depending on experience and qualifications.
