Direct Counsel is seeking a Senior Transactional Tax Associate Attorney to join a highly ranked Am Law 100 firm with opportunities across multiple major markets.
The ideal candidate will have at least 5 years of transactional tax experience, particularly involving middle-market private equity M&A transactions. This role offers access to sophisticated deal work, cross-office collaboration, and direct client engagement within a nationally recognized corporate practice.
Key ResponsibilitiesAdvise on federal and state tax implications of corporate transactions
Draft and negotiate tax-related provisions in deal documents
Conduct legal research and prepare memoranda, contracts, and supporting documentation
Manage components of complex transactions from initial structuring through closing
Interface directly with internal teams and clients to provide practical, business-minded guidance
J.D. and active bar admission in one of the listed jurisdictions
5+ years of relevant transactional tax experience, preferably within an Am Law 100 firm
Exceptional written and verbal communication skills
Strong judgment, attention to detail, and ability to manage competing priorities
Collaborative mindset with the ability to operate autonomously as needed
Expected salary range: $365,000 – $435,000, commensurate with experience and location
