We are seeking a highly-skilled and enthusiastic Permanent Associate Attorney - Transactional to join our dynamic legal team. This position offers an exceptional opportunity to work on sophisticated transactional matters, providing legal advice and guidance on a wide variety of business-related issues. The ideal candidate will have a strong background in business law, exceptional negotiation skills, and a passion for delivering top-quality legal services. This role requires a minimum of 5 years of experience in a similar position.

Responsibilities:
As a Permanent Associate Attorney - Transactional, your duties will include but are not limited to:

1. Drafting, reviewing, and negotiating a wide array of complex commercial agreements, including mergers and acquisitions, joint ventures, real estate transactions, and other business contracts.
2. Providing legal advice on various business transactions, including due diligence, deal structures, and risk management issues.
3. Collaborating with other attorneys and clients to ensure the smooth execution of transactions.
4. Conducting legal research and analysis to support business operations and decision-making.
5. Advising clients on legal rights and obligations, as well as potential legal problems.
6. Ensuring compliance with all relevant laws, regulations, and internal policies.
7. Participating in the development and implementation of legal strategies to meet business objectives.
8. Representing the organization in legal proceedings, if necessary.

Qualifications:
The successful candidate for the Permanent Associate Attorney - Transactional position should possess the following qualifications:

1. Juris Doctor (JD) degree from an accredited law school.
2. Minimum of 5 years of experience as a business attorney, with a strong focus on transactional matters.
3. Admission to the state bar.
4. Proven experience in drafting, reviewing, and negotiating complex commercial contracts.
5. Deep understanding of business law and corporate governance principles.
6. Excellent negotiation and communication skills.
7. Strong analytical and problem-solving abilities.
8. Ability to work effectively both independently and as part of a team.
9. High level of professionalism and ethical standards.
10. Excellent organizational skills and attention to detail.
11. Ability to manage multiple tasks simultaneously and meet deadlines under pressure.
12. Proficiency in legal research tools and software.
