We are seeking an experienced Business Attorney to join our Corporate & Commercial Practice Group. This attorney will advise clients on a broad range of transactional, governance, and commercial matters, while collaborating closely with litigation, regulatory, and specialty practice teams.

The ideal candidate is a highly motivated legal professional with strong drafting skills, sound judgment, and the ability to provide clear, business-minded legal advice in a fast-paced, client-driven environment.

Key Responsibilities

Corporate & Business Law

  • Advise clients on entity formation, structuring, governance, and compliance
  • Draft and review operating agreements, shareholder agreements, bylaws, and corporate resolutions
  • Counsel clients on mergers, acquisitions, reorganizations, and business transitions
  • Provide guidance on fiduciary duties, corporate governance, and risk management

Commercial Transactions

  • Draft, negotiate, and review complex commercial contracts, including:
    • Service agreements
    • Vendor and supplier contracts
    • Licensing agreements
    • Distribution and franchise agreements
  • Support clients in structuring and closing business transactions
  • Identify and mitigate contractual and financial risk exposure

Advisory & General Counsel Services

  • Serve as outside general counsel to businesses across multiple industries
  • Provide day-to-day legal guidance on operational, regulatory, and strategic matters
  • Assist clients with employment-related business issues in coordination with labor counsel
  • Support clients in regulatory compliance and industry-specific legal requirements

Collaboration & Litigation Support

  • Partner with litigation attorneys on dispute avoidance and pre-litigation strategy
  • Assist with contract interpretation and enforcement matters
  • Provide transactional insight in ongoing commercial disputes
  • Coordinate across practice groups for integrated client solutions

Client Development & Relationship Management

  • Build and maintain strong client relationships through responsive communication
  • Participate in client meetings, presentations, and strategy sessions
  • Contribute to firm business development efforts and networking initiatives

Qualifications

Required

  • Juris Doctor (J.D.) from an accredited law school
  • Active license to practice law in at least one U.S. jurisdiction (WV, OH, or PA preferred or ability to obtain promptly)
  • 3-10+ years of experience in corporate law, commercial transactions, or business counseling
  • Strong drafting, negotiation, and analytical skills
  • Demonstrated ability to manage multiple complex matters simultaneously
  • Excellent written and verbal communication skills
  • Client-service mindset with strong business acumen

Preferred Experience

  • Experience in a mid-size or full-service law firm environment
  • Background in accounting, business transactions, mergers & acquisitions, banking/finance, or regulatory compliance
  • Exposure to industries such as service, energy, real estate, construction, small businesses, or financial services
  • Experience serving as outside general counsel to business clients
  • Familiarity with multi-jurisdictional commercial matters
