Team Profile: The Institutional Securities Documentation team sits within Fixed Income Division's Business Control Unit and is a first line team comprised of Non-Market Risk (Operational Risk), Counterparty Risk, Conduct Risk and Contract Negotiations. The Institutional Securities Documentation Team covers the contract negotiation function for trading agreements for Fixed Income Division.

We are looking for an individual in the documentation unit supporting the Commodities desks with negotiations of physical and financial master agreements and ancillary documents. As a member of the documentation unit, the team member will review and negotiate ISDA schedules, various ISDA annexes, NAESBs, EEIs, credit support annexes, bespoke physical master agreements, guaranties and ancillary documents. The candidate will work closely with business professionals across the firm, as well as with external counsel and clients. The primary objective will be to execute master agreements in an effective and efficient manor.

Responsibilities include:

  • The timely, consistent and effective negotiation, review, and drafting of master agreements (using both English and New York law) upon request from the Business Unit to help facilitate their business.
  • Liaise with Credit, Risk, Legal, Sales, Operations, Tax and other internal groups to ensure that the appropriate terms are included in all agreements for the effective protection of Morgan Stanley in line with applicable policies, procedures, and regulations.
  • Converse with clients regarding Morgan Stanley's position in master agreements
  • Keeping work in progress records up to date.
  • Keeping informed of business and regulatory developments as they impact on the way in which the business operates

Qualifications:

  • JD preferred
  • Experience in reviewing, drafting and negotiating the ISDA Master Agreement and other trading documentation preferred
  • College degree required
  • Must have excellent verbal and written skills
  • Strong analytical and organizational skills
  • Excellent interpersonal and communication skills; the ability to clearly articulate ideas and forge strong relationships internally and with external clients
  • Highly motivated and adaptable; the ability to work on a team of diverse individuals
  • Must be mature and professional
  • Must be proactive and have the ability to work independently and to perform consistently and respond creatively in a high volume fast paced and changing environment
  • Accurate and detail-oriented with sound judgment and integrity

Expected base pay rates for the role will be between $100,000 and $150,000 per year for Associate at the commencement of employment and between $140,000 and $250,000 for Vice President. However, base pay if hired will be determined on an individualized basis and is only part of the total compensation package, which, depending on the position, may also include commission earnings, incentive compensation, discretionary bonuses, other short and long-term incentive packages, and other Morgan Stanley sponsored benefit programs.
