DescriptionOur client, a growing full-service law firm, is seeking a Corporate Associate Attorney to join their legal team in Providence, Rhode Island. This opportunity is suited to a lawyer who brings sound judgment, strong leadership potential, and the ability to manage client matters with precision and professionalism. Role: Corporate Associate AttorneyLocation: Providence, RISalary: $165,000 - $185,000 (depending on experience) + amazing benefitsSchedule: Hybrid (4 days in office, 1 day remote but can be 3 days in office, 2 days remote after onboarding period)Responsibilities:Advise clients on a wide range of corporate, commercial, and transactional legal matters.Review, draft, negotiate, and interpret complex commercial agreements, including equity and asset purchase agreements, shareholder, partnership, and operating agreements, loan and financing agreements, licensing agreements, Service agreements, non-disclosure agreements (NDAs), restrictive covenant agreements and other business-related contracts and transactional documents.Conduct legal research and analyze issues related to corporate transactions, governance, regulatory compliance, and business operations; provide practical and timely recommendations to clients.Assist with all phases of mergers, acquisitions, dispositions, and other strategic transactions, including conducting and managing due diligence reviews.Manage a high volume of client matters while maintaining exceptional attention to detail and responsiveness.Counsel clients regarding contract terms, business risks, legal obligations, and the implications of proposed transactions and operational decisions.Identify potential legal and business risks and assist in developing proactive strategies to mitigate exposure and prevent future legal issues.Collaborate with clients, advisors, and internal stakeholders to facilitate successful business transactions and achieve client objectives.RequirementsRequirements:J.D. from an accredited law school. Admitted to the Rhode Island bar.3+ years of experience in corporate and transactional law.Strong drafting, negotiation, and contract review skills with experience handling sophisticated commercial transactions.Excellent verbal and written communication skills with the ability to explain complex legal concepts to business clients.Comprehensive knowledge of applicable federal and state laws, regulations, court procedures, filing requirements, and legal processes.Ability to analyze complex factual and legal issues and develop clear, logical, and practical solutions.Demonstrated ability to handle confidential and sensitive matters with discretion and professionalism.Strong organizational, project management, and time management skills with the ability to prioritize competing deadlines.Self-motivated professional with sound judgment, strong initiative, and the ability to work independently while managing multiple matters simultaneously.Job typePerm
