DescriptionA well-established, full-service law firm is seeking a talented attorney to join its growing practice. The firm serves a diverse client base, including public and private companies, entrepreneurs, governmental entities, and nonprofit organizations. With a collaborative, multidisciplinary approach, the firm provides strategic legal counsel across a broad range of business and regulatory matters. The firm is seeking an attorney with experience or a strong interest in the cannabis industry to support clients on a variety of corporate and transactional matters.ResponsibilitiesAdvise cannabis industry clients on a broad range of business and transactional matters, including entity formation, mergers and acquisitions, joint ventures, financings, and commercial agreements.Draft, review, and negotiate contracts, operating agreements, shareholder agreements, and other corporate governance documents.Conduct due diligence and assess legal and regulatory risks associated with business transactions.Monitor developments in federal, state, and local cannabis laws and regulations and advise clients accordingly.Collaborate with colleagues across practice areas to deliver comprehensive legal solutions.RequirementsQualifications2–8 years of relevant legal experience, preferably involving cannabis law, corporate law, commercial transactions, and contract matters.Experience advising businesses on transactional and corporate governance issues.Strong drafting, negotiation, analytical, and problem-solving skills.Ability to manage multiple client matters and deadlines in a fast-paced environment.Excellent interpersonal, communication, and client relationship skills.Preferred: Experience serving as lead attorney on business transactions, including mergers and acquisitions, financings, joint ventures, and other complex corporate matters. Experience representing cannabis-related businesses is highly desirable.Job typePerm
