Corporate Counsel at Renewable Properties
Job Description
Renewable Properties is seeking to bring on an experienced and talented Corporate Counsel to effectively collaborate and own various aspects of the Company's legal functions. This will be the Company's first internal legal hire and will complement its extensive network of outside counsel support. The candidate will provide counsel across the company and lead the legal execution on a range of topics including real estate, project financing, EPC contracts, MIPA negotiations, and other transactional areas.
A successful candidate will have experience across a wide-ranging set of corporate and commercial disciplines, managing numerous tasks at once and prioritizing them, accordingly. We are seeking a thorough, results focused problem solver who evaluates issues from both a legal and business perspective employing a practical, business oriented approach to problem solving. This is a unique opportunity to play a critical, high visibility role in supporting Renewable Properties' success during this exciting time of rapid growth in a changing and impactful industry.
This is a full time role based in San Francisco, CA, and is open to hybrid work.
Responsibilities- Provide day to day legal support to the company and build relationships with business partners by providing timely, concise, and commercially focused legal advice.
- Review, draft, negotiate, and interpret a wide range of commercial agreements, including project finance agreements, services agreements, real estate agreements, supply agreements, EPC agreements, consulting agreements, confidentiality agreements, letters of intent, and term sheets.
- Lead and manage complex transactions from a legal perspective, including acquisitions, divestitures, joint ventures, and partnership arrangements.
- Identify and counsel management about potential risks, claims and disputes potentially arising from commercial contracts and transactions. Propose practical and pragmatic solutions to drive resolution.
- Manage outside legal counsel in connection with a range of financing, corporate, transactional, or operational matters.
- Coordinate across departments as necessary in connection with potential transactions.
- Provide legal assistance and advice to management.
- Remain current on constant changes within legal and regulatory environment and communicate regarding the potential corporate impact.
- Juris Doctor degree with more than five (5) to eight (8) years of relevant experience as a practicing attorney at a law firm and/or as an in house corporate attorney required.
- Active member of a state bar in good standing (preferred).
- Extensive experience drafting, negotiating, and advising on complex commercial contracts and transactions.
- Superb oral and written communication skills.
- Experienced negotiator.
- Exceptionally organized, detail oriented, and efficient.
- Excellent interpersonal communication skills with the ability to effectively, persuasively, and tactfully interact with employees and business partners.
- Excellent judgment, ability to handle sensitive and confidential information.
- Ability to analyze legal research, investigate results, relevant data, and/or fact patterns to arrive at an effective, economical solution.
- Industry (renewable energy) experience preferred.
- Project financing experience preferred but not required.
Typical mid-level pay: $151k for Lawyers nationally
Senior roles pay 116% more than entry—experience is well rewarded.
