Core responsibilities include:Advising startups and high-growth companies through formation funding rounds and operational stagesLeading equity financing transactions including seed and venture roundsHandling mergers acquisitions and related divestitures auctions and carve-outsProviding strategic support on governance and shareholder mattersCollaborating with cross-functional teams (IP tax employment) for seamless transaction executionMentoring junior associates and managing deal teams efficientlyDrafting negotiating and reviewing complex transaction documents with precisionRequired Credentials:Juris Doctor (JD) from an accredited U.S. law schoolAdmission to practice law and in good standing in the state of New York or Massachusetts (depending on office)45 years of post-JD experience in a corporate practice at a law firmStrong foundation in startup counseling private company M&A and equity financingDemonstrated ability to manage transactions independently and lead junior team membersExcellent drafting negotiation and communication skillsAdditional Preferred Skills:Familiarity with capital markets and public company disclosure work (not required)Experience representing high-growth tech or life sciences companiesExposure to cross-border transactions or international clientsCommitment to client service responsiveness and strategic thinkingStrong interpersonal and leadership traits suited to a collaborative work cultureLegal Notice:This job advertisement does not constitute a full or comprehensive description of the job from the client and is not representative of an offer of employment.
