Job Description
An international law firm currently has an excellent full-time employment opportunity in the German Corporate Practice Group of its New York office. The position offers competitive compensation and an excellent benefits package.POSITION SUMMARYThe successful candidate will have 2 years of corporate paralegal experience and a college graduate. The position will support attorneys in the German Corporate Practice Group with all aspects of transactional work including entity formation maintenance due diligence regulatory filings and the preparation of transactional documents.ESSENTIAL DUTIES AND RESPONSIBILITIESPrepare and file formation and qualification documents for corporations LLCs and other legal entities in U.S. jurisdictionsDraft edit and distribute corporate documents including resolutions and basic contractsSupport maintenance of trademark portfolios under supervisionMaintain corporate minute books stock ledgers and cap tables; coordinate execution of documents and manage closingsCoordinate closings including preparation of closing checklists signature pages and closing bindersInteract with clients attorneys and government agencies regarding corporate filings and compliance mattersOrganize and maintain a comprehensive and accurate filing system (both paper and electronic) for business records documents reports and deadlinesConduct online research and utilize electronic resources efficiently and effectivelySKILLSAbility to manage workloads from multiple attorneys organize and prioritize deadlines as assignedEffective written and verbal communication skills; ability to summarize information conciselyStrong attention to detail with accurate data entry and proofreading abilitiesProficiency in Microsoft Office Suite (Word Excel PowerPoint Outlook) WestLaw LexisNexis iManage OneDrive or similar document management programsTeam player with the ability to work independently QUALIFICATIONSBachelors degree requiredMinimum of 2 years of relevant corporate paralegal experience in a law firmFamiliarity with corporate and transactional documents terminology and proceduresStrong working knowledge of entity formation and corporate maintenance requirements in Delaware and other jurisdictionsAbility to work overtime as neededNative or bilingual proficiency in German a plusWORK ENVIRONMENTIn-Office Attendance preferred Hybrid negotiableThe good faith base salary for this position is $80000 - $95000 per year.
