PRIVATE EQUITY COUNSEL ATTORNEY (non-partnership track)PRIVATE INVESTMENT FUNDS GROUPLocations: Boston MA New York NY San Francisco CAHYBRIDOur client a premier AmLaw 50 firm is seeking a driven Counsel Attorney to join its high-performing Private Investment Funds (PIF) Group within the Private Equity Practice. This non-partnership track role is an exciting opportunity to work on complex and private investment transactions for elite private equity sponsors direct lenders and financial institutions across a wide range of industries and deal structures.Candidate ProfileJDfrom atop-tier law schoolwith an excellent academic recordActive Bar Admission in the relevant jurisdiction in good standing or eligibility to obtain admission promptly6 years of substantive experience in fund formation transactions with private investment funds focusing on the private equity real estate and/or tech industriesSkilled in private placements under the 1933 Act managing unregistered funds under the Investment Company Act and familiar with the Investment Advisers ActStrong proficiency in drafting and negotiating fund formation documentsand operational agreements ensuring compliance with applicable laws and regulationsDemonstrated experience negotiating with fund investors and handling fund operational mattersPrior experience at an AmLaw 100 or similarly sophisticated firm requiredSoft Skills: Excellent communication organizational and analytical abilities; experience managing complex workstreams and coordinating with multiple stakeholders; proven ability to thrive in a fast-paced high-performance environmentKey ResponsibilitiesRepresentprivate equity hedge private credit real estate hybrid and other types of funds employing alternative investment strategiesAdvise fund manager clients on the structuring formation and operation of private investment fundsDraftand manage fund documents including negotiation with institutional and high-net-worth investorsonfund termsand related agreementsCollaborate closely with partners associates and clients to deliver strategic legal and business solutionsProvide ongoing counselon fund governance regulatory issues and operational mattersCollaborate with colleagues across the firms private equity M&A tax and restructuring teams to deliver comprehensive transactional supportServe as a key contributor throughout all stages of transactionsWhy Join UsThis role offers a rare opportunityto join a high-performing PIF team operating within one of thenations most sophisticated Private Equity practices at a globallyrecognized firm.
